2. Eligibility

You must be at least 13 years old to use Scout 'n' Shout. By using this platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms.

3. Account Registration

To use certain features of Scout 'n' Shout, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. User Content and Reviews

When you submit reviews, ratings, photos, or other content to Scout 'n' Shout ("User Content"), you agree that:

• You own or have the right to submit the content
• Your content does not violate any laws or third-party rights
• You grant Scout 'n' Shout and Data Network Analysts a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content on the platform
• You retain ownership of your content, but grant us the right to use it for platform operations

5. Content Policies

You agree NOT to post content that:

• Is defamatory, libelous, or false
• Contains obscene, vulgar, or offensive language
• Includes graphic or NSFW imagery
• Violates intellectual property rights
• Contains spam, advertising, or promotional material (unless you're a paid business subscriber)
• Harasses, threatens, or discriminates against others
• Violates any applicable laws or regulations

We reserve the right to remove any content that violates these policies without prior notice.

6. Business Listings and Claims

Business listings on Scout 'n' Shout are created by user reviews. If you are a business owner:

• You may claim your business listing by providing proof of ownership
• Claims are subject to verification and approval by our team
• You agree to provide accurate business information
• You accept responsibility for managing your listing content
• Approval of claims is at our sole discretion

7. Subscription Services

Scout 'n' Shout offers tiered subscription plans for business owners:

• Tier 1 (Free): Basic business claim and review access
• Tier 2 ($2,500 one-time): Reply to reviews, product management (max 5 products), customer lead capture, and analytics dashboard
• Tier 3 (Future): Additional premium features to be announced

Payment Terms:

• Tier 2 is a one-time payment of $2,500 for lifetime access
• Payment is processed via Stripe
• No recurring charges or auto-renewals
• Lifetime access is granted upon successful payment verification
• All fees are in USD
• No refunds after payment is processed

8. Data Ownership and Sharing

Scout 'n' Shout is a subsidiary of Data Network Analysts. By using our platform, you acknowledge and agree that:

• All data collected is the property of Data Network Analysts
• Your data will be automatically shared with Data Network Analysts
• Data Network Analysts may use your data for analytics and marketing purposes
• This data sharing is inherent to our business structure and not a "sale" of data

9. Intellectual Property

The Scout 'n' Shout platform, including its design, features, and content (excluding User Content), is owned by Data Network Analysts and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our platform or content without permission
• Use our trademarks or branding without authorization
• Reverse engineer or attempt to extract source code
• Create derivative works based on our platform

10. Prohibited Conduct

You agree not to:

• Use the platform for any illegal purpose
• Impersonate others or provide false information
• Interfere with or disrupt the platform's operation
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or harvest data from the platform without permission
• Post fake reviews or manipulate ratings
• Use bots or automated tools to interact with the platform

11. User-Generated Content and Platform Liability

Scout 'n' Shout operates as a neutral platform that hosts user-generated content. We do not create, endorse, verify, or control the content posted by users. By using this platform, you acknowledge and agree to the following:

11.1 Platform Neutrality: Scout 'n' Shout is an interactive computer service that provides a forum for users to post reviews, ratings, and other content. We are a neutral host and do not endorse, approve, or verify any user-submitted content.

11.2 No Endorsement of Reviews: All reviews, ratings, opinions, and statements expressed on Scout 'n' Shout are those of the individual users who posted them and do NOT represent the views, opinions, beliefs, or endorsements of Scout 'n' Shout or Data Network Analysts. We do not guarantee the accuracy, completeness, or reliability of any user content.

11.3 Section 230 Safe Harbor: Scout 'n' Shout operates under the protections of Section 230 of the Communications Decency Act (47 U.S.C. § 230), which provides that interactive computer service providers shall not be treated as the publisher or speaker of any information provided by another information content provider. We are not liable for user-generated content posted on our platform.

11.4 User Responsibility: Users are solely responsible for the content they post. By submitting content, you represent and warrant that:

• Your content is truthful and accurate to the best of your knowledge
• You have the right to post the content
• Your content does not violate any laws or third-party rights
• You accept full responsibility for any legal consequences arising from your posts
• Scout 'n' Shout is not responsible or liable for your content

11.5 Content Moderation and Removal: While we are not obligated to monitor user content, we reserve the right (but not the obligation) to:

• Review, edit, or remove any content at our sole discretion
• Remove content that violates these Terms of Use or applicable law
• Remove content in response to valid legal complaints or court orders
• Cooperate with law enforcement when required by law

Our decision to remove or retain content does not constitute endorsement of that content or acceptance of liability for it.

11.6 DMCA Compliance: If you believe that content on Scout 'n' Shout infringes your copyright, you may submit a DMCA takedown notice to info@scoutnshout.com. Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on our platform
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that the use is unauthorized
• A statement that the information in the notification is accurate
• Your physical or electronic signature

We will process valid DMCA notices in accordance with the Digital Millennium Copyright Act.

11.7 Third-Party Complaints: If you believe content on our platform is defamatory, inaccurate, or violates your rights, please contact us at info@scoutnshout.com with specific details. We will review your complaint, but we are under no obligation to remove content unless required by law. Users who post content are responsible for the accuracy and legality of their posts.

11.8 No Investigation or Verification: Scout 'n' Shout does not investigate, verify, or fact-check user-submitted reviews. We do not conduct background checks on reviewers or businesses. Ratings and reviews reflect the subjective opinions of individual users and should not be relied upon as objective fact.

11.9 Business and Individual Liability: Businesses, individuals, and entities that are the subject of reviews are encouraged to respond directly to reviewers or contact us with factual corrections. However, Scout 'n' Shout is not responsible for disputes between users and the subjects of reviews. Any legal disputes should be resolved between the parties involved.

12. Third-Party Services

Scout 'n' Shout uses third-party services (such as Stripe for payments). Your use of these services is subject to their respective terms and policies. We are not responsible for the actions or policies of third-party services.

13. Disclaimers

Scout 'n' Shout is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• The accuracy, reliability, or completeness of user reviews
• The availability or uninterrupted operation of the platform
• The security of data transmission
• That the platform will be error-free or free of viruses

AI-Generated Content: Some content on Scout 'n' Shout may include AI-generated images or information. We do not guarantee the accuracy of AI-generated content. Users should verify information independently when making decisions.

User Reviews Disclaimer: We expressly disclaim any responsibility or liability for user-generated content. Reviews are subjective opinions and may not reflect objective facts. We do not endorse, guarantee, or verify the accuracy of any review.

14. Limitation of Liability

To the maximum extent permitted by law, Data Network Analysts and Scout 'n' Shout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from:

• Your use or inability to use the platform
• Unauthorized access to your account or data
• Content posted by other users
• Errors or omissions in platform content
• Any business decisions made based on platform information
• Defamatory, offensive, or inaccurate content posted by users
• Disputes between users and businesses or individuals reviewed on the platform

In no event shall our total liability exceed the amount you paid us in the past 12 months, or $100, whichever is greater.

15. Indemnification

You agree to indemnify and hold harmless Data Network Analysts, Scout 'n' Shout, and our affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform
• Your violation of these Terms of Use
• Your violation of any third-party rights
• Content you submit to the platform
• Any disputes arising from your reviews or ratings
• Any legal action brought against us due to your content

16. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms of Use
• Fraudulent or illegal activity
• Abusive behavior toward other users or our team
• Any reason at our sole discretion

Upon termination, your right to use the platform ceases immediately. You may also terminate your account at any time by contacting us.

17. Changes to Terms

We may modify these Terms of Use at any time. If we make material changes, we will notify you by email or by posting a notice on the platform. Your continued use of Scout 'n' Shout after changes become effective constitutes acceptance of the new terms.
